Q3 2026 Business Sale Data: Prices Up 17%: What It Means for Utah Sellers
The numbers for the third quarter are in, and they tell a story every Utah business owner thinking about an exit should hear: fewer businesses are selling, but the ones that do are selling for considerably more.
BizBuySell's Q3 2026 Insight Report tracked 2,132 closed small-business transactions nationally, down 7% from a year ago. Yet the median sale price climbed 17% year over year to $350,000, and businesses selling above $1 million hit a record 22% of all transactions, closing at a 3.73x cash flow multiple and 100.8% of asking price on average.
Fewer deals at higher prices means one thing: buyers have gotten selective, and the market is rewarding prepared sellers while passing over everyone else.
Service and manufacturing businesses are leading the market
Two sectors that dominate Utah's main street economy had a standout quarter nationally:
Service businesses made up 47% of all transactions, with the median sale price up 21% and median cash flow up 18% year over year. If you own an HVAC, landscaping, cleaning, or other home-service company along the Wasatch Front, this is your market.
Manufacturing posted a median sale price of $807,000, up 58% year over year, at a 3.02x average cash flow multiple, the highest of any major sector.
Buyers are concentrating their money on profitable, recession-resistant businesses with verifiable financials. As BizBuySell's president put it: buyers haven't left the market. They're simply becoming more selective.
New SBA rules now require an independent valuation on every financed deal
Buried in the Q3 data is the change that matters most for sellers. Effective October 1, 2026, new SBA rules require:
An independent business valuation on every SBA-financed change of ownership. No exceptions.
A quality of earnings report for acquisitions of $3 million or more.
Proof that historical earnings cover the debt. Projections no longer count.
Since the large majority of small-business buyers use SBA financing, this effectively means your business will be independently valued whether you plan for it or not. Sellers who get a certified valuation before going to market set the anchor; sellers who wait find out what a lender's appraiser thinks after they've already negotiated a price, and if the valuation comes in low, the deal retrades or dies.
Brokers nationally ranked SBA funding as the single most common financing obstacle last quarter, ahead of interest rates. Clean books, documented add-backs, and a defensible valuation are now the difference between closing and not closing.
What this means if you own a Utah business
Priced-right businesses are commanding premiums. Median prices are up 17% nationally while inventory of quality listings shrinks. Sellers with verifiable earnings are negotiating from strength.
27% of owners who plan to sell are now considering selling sooner, citing rising costs and inflation that isn't easing. More listings are coming; sellers who move before the wave face less competition.
28% of buyers are waiting on interest rates, and the Fed's September projections point to one more hike before year-end. Serious buyers in the market today are motivated, and prequalified ones expect sellers to be prepared.
Utah's market has structural advantages the national numbers don't capture: one of the fastest-growing economies in the country, deep buyer demand along the Wasatch Front, and strong in-migration of acquisition-minded buyers. A well-prepared Utah service or manufacturing business entering this market is in the strongest seller's position we've seen in years.
