Main Street businesses in Utah are priced on a multiple of seller's discretionary earnings, or SDE. SDE is net profit plus owner compensation, plus one-time and non-operating expenses. It is what the business actually puts in an owner-operator's pocket.

Across current Zion Business Brokers listings, Utah and Mountain West businesses in the trades and service sectors are priced between 2.15x and 3.38x SDE. That range is not arbitrary. Here is where businesses fall inside it.

Roofing, siding and window company with a dumpster fleet: $2,428,702 revenue, $499,511 SDE, priced at $1,686,500. That is 3.38x.

Exterior cleaning and pressure washing company: $593,367 revenue, $259,322 SDE, priced at $790,000. That is 3.05x.

Auto care business including real estate: $3,434,000 revenue, $650,000 SDE, priced at $1,835,000. That is 2.82x, though the real estate distorts the comparison.

Residential HVAC service and replacement: $768,381 revenue, $311,180 SDE, priced at $875,000. That is 2.81x.

Window cleaning business: $62,952 revenue, $40,474 SDE, priced at $87,000. That is 2.15x.

Why the spread is so wide

The businesses at the top of that range share three things: recurring or contracted revenue, a crew that stays after closing, and books a lender can underwrite without a fight.

The business at the bottom is owner-dependent with under $50,000 in SDE. When the owner is the business, the buyer pool narrows to individuals paying cash, and cash buyers pay less.

Above roughly $1 million in adjusted earnings, pricing shifts from SDE to EBITDA and multiples move into the 4x range, because private equity and search funds enter the bidding.

Who buys businesses in Ogden and Weber County?

Individual owner-operators. Often people leaving corporate roles along the Wasatch Front, out-of-state buyers relocating to Utah, or local operators buying their first business. Most active under $1 million, almost always SBA-financed.

Strategic and regional acquirers. Existing operators buying a competitor or an adjacent service line. In Ogden this is common in HVAC, plumbing, electrical, roofing and landscaping, where route density and crew retention carry real value.

Private equity and search funds. Increasingly active in Utah above roughly $1 million EBITDA, looking for management depth and recurring revenue.

How buyers finance an Ogden acquisition

Most Main Street transactions in Utah run through the SBA 7(a) program. Active lenders based in or lending into Utah include Zions Bank, Mountain America Credit Union, Live Oak Bank and Celtic Bank.

The typical structure is 10% buyer equity, 10% seller carry and 80% bank financing. Lender appetite is the practical ceiling on price. A deal has to service its debt at the asking number, whatever the seller hopes for, which is why a business with clean books and documented earnings sells for more than an identical business with messy ones.
